1. Agreement to these Terms
These Terms form a legally binding agreement between you and Lingo. "You" means any individual who accesses or uses the Services and any entity on whose behalf that individual acts.
The Services include www.lingocoin.io, app.lingocoin.io, Lingo wallet-connected features, staking-related interfaces, rewards, raffles, wheels, mystery boxes, Power Miles, Shards, badges, leaderboards, referrals, social tasks, dashboards, communications, and any other related product or feature we provide.
Your use of the Services may also be governed by our Privacy Policy, AML/KYC policies, promotion-specific rules, community rules, security policies, and other policies posted or made available by us. If supplemental rules apply to a promotion or feature, those supplemental rules control for that promotion or feature if they conflict with these Terms.
2. Eligibility and restricted access
You may use the Services only if you can form a legally binding contract with Lingo and only in compliance with these Terms and all applicable laws.
By using the Services, you represent and warrant that each of the following is true:
- You are at least 18 years old and have reached the age of majority and contractual capacity in your jurisdiction.
- If you use the Services for an entity, you have authority to bind that entity to these Terms.
- You are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of a person located in a jurisdiction where access to the Services is prohibited by law or by Lingo.
- You are not subject to sanctions, embargoes, asset freezes, or similar restrictions administered by the United Nations, United States, United Kingdom, European Union, Seychelles, or any other applicable authority.
- You will provide accurate, complete, and current information when requested and will promptly update that information if it changes.
3. Accounts, wallets, and security
Account responsibility
You are responsible for all activity associated with your account, wallet, login credentials, social accounts, referral codes, and connected services, whether or not you authorized the activity.
You must keep your login credentials, wallet credentials, seed phrases, private keys, recovery phrases, devices, and authentication methods secure. Lingo does not control your wallet credentials and cannot recover lost private keys or reverse blockchain transactions.
One account per user
Unless Lingo gives you prior written approval, you may not create, operate, control, access, or benefit from more than one account, user profile, wallet profile, referral identity, social identity, email identity, or other credential for the purpose of using the Services.
You may not use multiple wallets, emails, social accounts, devices, VPNs, proxies, scripts, collaborators, nominees, or other means to obtain more rewards, Power Miles, Shards, tickets, spins, entries, airdrops, eligibility, bonuses, referrals, badges, or other benefits than a single legitimate user is intended to receive.
Transfers and shared access
You may not sell, rent, lease, lend, transfer, or share your account, rewards eligibility, referral code, verification status, or access credentials unless we expressly permit it in writing.
We may refuse, suspend, restrict, consolidate, or terminate accounts or wallet profiles that we believe are duplicate, fraudulent, misleading, compromised, automated, or operated to evade these Terms.
4. Prohibited conduct and fair use
You agree not to engage in any unlawful, abusive, manipulative, deceptive, harmful, or unauthorized activity. The following rules apply to all use of the Services, including accounts, wallets, rewards, staking features, referrals, tasks, promotions, and community features.
No exploitation of bugs or unintended behavior
You may not exploit, abuse, or take advantage of any bug, vulnerability, defect, misconfiguration, pricing error, display error, reward-calculation error, smart contract issue, API issue, race condition, delay, outage, unintended feature behavior, or other technical or product error.
This prohibition applies even if the issue appears publicly accessible, repeatable, harmless, caused by Lingo, caused by a third party, or available to other users.
- Do not use a bug or product error to obtain or increase rewards, Power Miles, Shards, tickets, spins, airdrops, allocations, badges, leaderboard position, referrals, eligibility, token balances, prize claims, or any other benefit.
- Do not intentionally trigger, repeat, automate, publish, sell, or help others use a bug or vulnerability.
- Do not keep, transfer, redeem, sell, or attempt to withdraw benefits obtained through a bug, exploit, or product error.
- Do not conceal exploit activity, route it through another wallet or account, or use additional accounts to preserve improperly obtained benefits.
No hacking or unauthorized access
You may not hack, attack, interfere with, compromise, disrupt, damage, disable, overburden, probe, scan, test, bypass, circumvent, or attempt to gain unauthorized access to the Services, any Lingo system, any smart contract, any API, any user account, any wallet, any non-public data, or any third-party service connected to Lingo.
You may not introduce malware, viruses, worms, logic bombs, malicious code, corrupted data, denial-of-service traffic, credential attacks, spam, phishing, spoofing, or other harmful activity.
No automation, scraping, or manipulation
- Do not use bots, scripts, crawlers, scrapers, browser extensions, automation tools, farms, emulators, virtual devices, or coordinated manual activity to access the Services or obtain benefits unless Lingo expressly authorizes that activity.
- Do not manipulate reward logic, game logic, referral attribution, leaderboard rankings, randomness, eligibility, task completion, wallet state, staking state, geographic restrictions, rate limits, access controls, KYC checks, sanctions checks, or anti-fraud systems.
- Do not use data collected from the Services for spam, unsolicited marketing, harassment, doxxing, profiling, or any unlawful or unauthorized purpose.
- Do not reverse engineer, decompile, disassemble, modify, frame, mirror, or create derivative works from the Services except to the extent applicable law expressly prohibits this restriction.
Security reports
If you discover a security issue, vulnerability, or product error, you must promptly report it through the official support or security channel made available by Lingo and stop interacting with the affected feature except as instructed by us.
A security report does not authorize you to access data, degrade service, take over accounts, move assets, claim rewards, publish details, demand payment, or otherwise violate these Terms or applicable law. Any bounty, credit, or reward for a report is available only if Lingo expressly offers it in writing.
Consequences of prohibited conduct
If we believe you violated these Terms, exploited a bug, created multiple accounts, manipulated a promotion, or otherwise abused the Services, we may take any action we consider appropriate, with or without notice.
- We may suspend, restrict, terminate, merge, or block accounts, wallets, referrals, social connections, or access to features.
- We may void, withhold, reverse, deduct, recalculate, claw back, or refuse rewards, Power Miles, Shards, tickets, spins, entries, prizes, airdrops, allocations, points, badges, or other benefits.
- We may remove leaderboard positions, cancel claims, require additional verification, preserve records, investigate activity, notify affected parties, and cooperate with law enforcement, regulators, service providers, or blockchain analytics providers.
- We may seek recovery of losses, costs, fees, and damages to the fullest extent permitted by law.
5. Rewards, raffles, promotions, and virtual items
Lingo may offer rewards, raffles, prize drawings, wheels, mystery boxes, Power Miles, Shards, badges, tasks, referrals, leaderboards, airdrops, allocations, and other promotional or loyalty features. These features are subject to availability, eligibility, verification, and any supplemental rules we provide.
Unless stated otherwise in supplemental rules, rewards and promotional benefits have no cash value, are not legal tender, are not deposits, are not stored value, are not refundable, and may not be sold, transferred, redeemed, or exchanged outside the methods expressly made available by Lingo.
- Odds, prize pools, rewards, timelines, eligibility requirements, earning rates, burn rates, expiration rules, tiers, and availability may change at any time unless prohibited by applicable law.
- Promotions may be void where prohibited, restricted to certain jurisdictions, limited to eligible users, or subject to additional verification.
- We may correct balances, calculations, eligibility, entries, prizes, rankings, and reward histories if we identify an error, exploit, abuse, fraud, duplicate account, ineligible participation, or technical problem.
- You are responsible for taxes, duties, reporting, filings, wallet fees, gas fees, travel costs, and any other costs associated with receiving, claiming, transferring, or using rewards or prizes unless supplemental rules say otherwise.
- If a prize is unavailable, delayed, discontinued, illegal to deliver, impractical to deliver, or blocked by compliance requirements, we may substitute a prize of comparable type or value, delay delivery, cancel the prize, or take another reasonable action.
6. Tokens, staking, and Web3 features
Lingo Token and related Web3 features are intended for utility within the Lingo ecosystem and related experiences. They do not represent equity, ownership, voting rights, dividends, revenue share, debt, profit participation, a claim on assets, or any right to participate in the management or financial results of Lingo or its affiliates.
Nothing in the Services is an offer to sell securities, investment advice, financial advice, legal advice, tax advice, or a recommendation to buy, sell, stake, hold, or transfer any token or digital asset.
You acknowledge that digital assets, wallets, smart contracts, blockchains, bridges, decentralized exchanges, oracles, third-party protocols, and related technology are experimental and involve significant risk.
- Token values may be volatile, may become illiquid, and may lose all value.
- Blockchain transactions may be irreversible, delayed, failed, front-run, attacked, or subject to network fees and technical limitations.
- Smart contracts and protocols may contain bugs, vulnerabilities, governance risks, oracle risks, bridge risks, or other issues outside our control.
- You are solely responsible for evaluating whether your use of any token, wallet, staking feature, claim feature, or digital asset is lawful in your jurisdiction.
- Lingo is not obligated to replace lost, stolen, destroyed, inaccessible, mistakenly transferred, or compromised tokens, wallets, rewards, or private keys.
7. KYC, AML, sanctions, and compliance
We may require identity verification, wallet screening, sanctions screening, fraud review, source-of-funds information, residency information, tax information, or other documentation before or after you access any feature, claim any reward, receive any prize, participate in any promotion, or use any wallet-connected service.
You agree to provide complete and accurate information and to cooperate with reasonable compliance requests. If you do not satisfy our compliance requirements, we may restrict, suspend, terminate, delay, refuse, or reverse access, claims, rewards, prizes, or transactions to the extent permitted by law.
We may block or restrict access where we believe activity may involve money laundering, terrorist financing, sanctions evasion, fraud, illegal gambling, market manipulation, prohibited jurisdictions, prohibited persons, or other unlawful or high-risk activity.
8. Third-party services and materials
The Services may integrate with, link to, or depend on third-party products, wallets, blockchains, exchanges, bridges, APIs, analytics providers, identity providers, payment providers, social platforms, websites, applications, smart contracts, or content.
Third-party services are not controlled by Lingo. Your use of third-party services may be governed by separate terms, privacy policies, fees, risks, and technical requirements. Lingo is not responsible for third-party acts, omissions, content, availability, security, outages, data practices, transactions, or losses.
9. Intellectual property
The Services, including all software, interfaces, designs, graphics, text, logos, trademarks, trade names, service marks, data, content, documentation, and other materials made available by Lingo, are owned by Lingo or its licensors and are protected by intellectual property and other laws.
Subject to your compliance with these Terms, Lingo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, lawful use. No rights are granted except as expressly stated in these Terms.
You may not copy, reproduce, modify, distribute, publicly display, publicly perform, sell, license, create derivative works from, or otherwise exploit the Services or our intellectual property without our prior written consent.
10. User content, feedback, and communications
If you submit, upload, publish, transmit, or otherwise provide content, feedback, suggestions, wallet labels, profile information, social handles, support messages, testimonials, prize claim materials, or other materials to Lingo, you represent that you have the right to do so and that your submission does not violate law or third-party rights.
You grant Lingo a worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, display, perform, adapt, modify, publish, distribute, and otherwise use your submissions as reasonably necessary to operate, improve, market, secure, and support the Services, subject to our Privacy Policy and applicable law.
You agree that we may send you service, security, compliance, product, reward, claim, and administrative communications through the Services, email, wallet notices, social platforms, or other contact methods you provide.
11. Privacy and data security
Our Privacy Policy explains how we collect, use, disclose, and protect information. By using the Services, you consent to our handling of information as described in the Privacy Policy and any applicable notices.
We use reasonable administrative, technical, and organizational measures designed to protect the Services, but no online service, wallet, blockchain, network, or storage system can be guaranteed to be secure, uninterrupted, or error-free.
You must promptly notify us through official support channels if you believe your account, wallet, device, credentials, or information has been compromised.
12. No professional advice
The Services and all content are provided for informational and utility purposes only. They are not financial, investment, legal, tax, accounting, cybersecurity, regulatory, or other professional advice.
You are responsible for conducting your own due diligence and consulting independent professional advisers before making decisions involving tokens, staking, taxes, legal compliance, wallets, digital assets, rewards, or promotions.
13. Accuracy, availability, and changes to the Services
We aim to provide accurate and timely information, but the Services may contain errors, omissions, outdated information, technical inaccuracies, or interruptions. You should independently verify information before relying on it.
We may modify, suspend, discontinue, replace, restrict, or remove any part of the Services at any time, including rewards, earning rates, eligibility criteria, staking interfaces, claim processes, content, integrations, and supported wallets.
We are not liable for delays, interruptions, errors, outages, data loss, transaction failures, network failures, maintenance, upgrades, force majeure events, or matters outside our reasonable control.
14. Disclaimers
To the fullest extent permitted by law, the Services and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, security, accuracy, availability, compatibility, and freedom from viruses or harmful components.
Nothing in these Terms excludes, restricts, or modifies warranties, guarantees, rights, or remedies that cannot be excluded, restricted, or modified under applicable law.
15. Limitation of liability
To the fullest extent permitted by law, Lingo and its affiliates, directors, officers, employees, contractors, agents, service providers, licensors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for loss of profits, revenue, goodwill, data, tokens, rewards, business, opportunities, or value.
To the fullest extent permitted by law, our aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the amount you paid directly to Lingo for access to the Services giving rise to the claim during the twelve months before the event giving rise to liability.
The limitations in this section apply regardless of the legal theory, whether based in contract, tort, negligence, strict liability, statute, or otherwise, and even if a remedy fails of its essential purpose.
16. Indemnification
You agree to indemnify, defend, and hold harmless Lingo and its affiliates, directors, officers, employees, contractors, agents, service providers, licensors, and representatives from and against any claims, demands, actions, losses, liabilities, damages, costs, and expenses, including reasonable attorneys fees, arising out of or relating to:
- your access to or use of the Services;
- your violation of these Terms, supplemental rules, policies, or applicable law;
- your misuse of accounts, wallets, tokens, rewards, prizes, referrals, promotions, or third-party services;
- your infringement or violation of any rights of Lingo, another user, or any third party;
- your negligence, fraud, willful misconduct, unauthorized access, exploit activity, or security misconduct.
17. Suspension and termination
You may stop using the Services at any time. We may suspend, restrict, or terminate your access to any or all Services at any time if we believe you violated these Terms, created risk for Lingo or others, failed compliance checks, engaged in prohibited conduct, or if continued access would be unlawful, commercially impractical, or harmful.
Termination does not limit any rights or remedies that accrued before termination. Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, prohibited conduct, rewards corrections, compliance, disclaimers, liability limits, indemnification, dispute resolution, and miscellaneous terms.
18. Amendments
We may update these Terms from time to time by posting the revised Terms on the Services or otherwise making them available. The "Last updated" date indicates when the Terms were last revised.
Unless we state otherwise, revised Terms become effective when posted. Your continued use of the Services after revised Terms become effective means you accept the revised Terms. If you do not agree, you must stop using the Services.
19. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to conflict-of-law principles that would require the application of another jurisdiction's laws.
To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the courts of the Republic of Seychelles, and you consent to the personal jurisdiction and venue of those courts.
20. Miscellaneous
- Entire agreement. These Terms and applicable policies or supplemental rules are the entire agreement between you and Lingo regarding the Services.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be enforced to the maximum extent permitted by law.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law.
- Headings. Section headings are for convenience only and do not affect interpretation.
- Contact. Questions about these Terms should be sent through the official support or contact channels made available by Lingo on the Services.
